On [TBA] 2010, Bell Resources Limited (ACN 620 586 334) announced an offer of New Shares (Offer) capitalised terms used in this site have the meanings found in the Prospectus.
The Company is seeking to raise $x million with an oversubscription amount of $x million through the issue of up to x million New Shares under the Offer. The Offer is a General Public Offer. The minimum investment amount is $5,000 (xx,000 shares at the Offer Price of $1.00). The allocation of New Shares between the Applicants is determined by the Company at its absolute discretion.
The Offer is not underwritten.
A Minimum Subscription amount of $xx million, representing x million Shares at the Offer Price of $1.00 per Share, is required under the Offer. The Offer will not proceed, and all Applications and associated Application Monies will be returned to Applicants (without interest), unless the Minimum Subscription amount of $x million is raised under the Offer. The Company reserves the right not to proceed with the Offer or any part of it at any time before allotment of New Shares to Applicants under the Offer.
New Shares will be issued as fully paid Shares and when issued will rank equally with the existing Shares on issue.
